These Terms govern your use of the public anvllabs.io marketing website only. They do not govern the ANVL platform or any related technology products or services. All customer and authorized-user access to the ANVL platform is governed exclusively by the applicable executed Master Services Agreement, Order Form, pilot agreement, or other written Customer Agreement, which controls in the event of any conflict with these Terms.
Scope and Acceptance
These Website Terms of Use ("Terms") govern your access to and use of the publicly available marketing website located at anvllabs.io and any publicly available webpages that expressly link to these Terms (collectively, the "Website"), operated by ANVL Labs, Inc. ("ANVL," "we," "our," or "us").
The Website does not include, and these Terms do not govern, any:
- →ANVL platform or software application
- →Authenticated environment or customer portal
- →Application programming interface (API)
- →Sandbox or evaluation environment
- →Demonstration or pilot environment
- →Production environment
- →Other ANVL technology product or service
Access to any such environment is governed solely by the applicable executed agreement, authorization, evaluation terms, pilot agreement, Master Services Agreement, Order Form, or other written agreement provided by ANVL (each, a "Customer Agreement"). If these Terms conflict with any Customer Agreement, the Customer Agreement controls.
ANVL's collection and use of personal information through the Website is described in the ANVL Privacy Policy.
By accessing or using the Website, you acknowledge that you have read these Terms and agree to be bound by them. If you do not agree, please do not access or use the Website.
About ANVL
ANVL is a technology company that serves institutional floorplan lenders. The Website provides general information regarding ANVL's company, products, capabilities, and team.
Nothing on the Website constitutes or should be construed as:
- →A binding offer or contractual commitment
- →A credit decision or lending decision
- →A commitment to provide a specific product or particular feature
- →A commitment regarding pricing, availability, or implementation timing
- →A guarantee of any outcome
Demonstrations, pilots, evaluations, sandbox environments, and platform access may be made available only under separate written authorization or a Customer Agreement. Descriptions and examples of platform capabilities presented on the Website are illustrative only.
Eligibility
The Website is intended primarily for business and institutional audiences, including institutional lenders, financial professionals, technology partners, and organizations evaluating ANVL's products. It is not directed to retail borrowers or individual consumers. By using the Website, you represent that you are at least 18 years of age and are accessing it for a lawful purpose.
Acceptable Use
You agree to use the Website only for lawful purposes and in a manner consistent with these Terms. Without limiting the foregoing, you must not:

- →Impersonate ANVL or misrepresent your affiliation with ANVL
- →Scrape, crawl, harvest, or systematically extract Website content through automated means without ANVL's prior written authorization
- →Copy, reproduce, systematically extract, or use material portions of ANVL's Website content, product descriptions, workflows, taxonomies, interfaces, documentation, platform concepts, or visual designs to develop, train, enhance, market, or operate a competing product or service
- →Use Website content to train, test, benchmark, or evaluate an artificial intelligence or machine-learning system without ANVL's prior written consent
ANVL reserves the right to investigate suspected violations and to restrict or block Website access for anyone who violates these provisions.
Intellectual Property
All content on the Website (including text, graphics, logos, trademarks, product names, images, audio, video, demonstrations, documentation, visual designs, platform descriptions, workflows, data structures, software, and other materials) is owned by ANVL or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.
You are granted a limited right to access and view publicly available Website content solely for legitimate informational and business-evaluation purposes. This right does not constitute a license to access or use the ANVL platform or any ANVL software product.
You may not reproduce, distribute, modify, commercially exploit, publicly display, create derivative works from, or remove proprietary notices from any Website content without ANVL's prior written consent.
If you voluntarily provide feedback or suggestions to ANVL regarding the Website or ANVL's products, and you have the legal right to provide them, you grant ANVL a royalty-free, worldwide, perpetual, irrevocable license to use and incorporate that feedback without any obligation to you.
Submissions and Communications
Unless ANVL has expressly agreed otherwise in a written confidentiality agreement:

This section does not apply to information submitted through an authorized ANVL platform, information exchanged under a Customer Agreement, or information protected by a nondisclosure agreement or other written confidentiality agreement between you and ANVL.
No Financial, Legal, Regulatory, or Credit Advice
Website content is provided for general informational purposes only and does not constitute financial, investment, legal, regulatory, compliance, accounting, credit, underwriting, or lending advice of any kind.
ANVL is a technology company and is not acting through the Website as a lender, financial advisor, law firm, accounting firm, credit bureau, regulated financial institution, or substitute for qualified professional advice.
Lenders and other institutions remain solely responsible for their lending, servicing, underwriting, compliance, collateral, operational, and regulatory decisions.
Artificial Intelligence and Decision-Support Limitations
Descriptions, examples, and demonstrations of ANVL's AI, analytics, forecasting, anomaly detection, risk indicators, automated workflows, and related capabilities presented on the Website are illustrative and informational only.
AI-assisted and automated outputs may be incomplete, inaccurate, or contain errors. They may become outdated and may depend on incomplete or third-party data, customer configuration, or the quality, timeliness, and completeness of underlying data. Such outputs are designed to support, not replace, qualified human judgment.
ANVL does not guarantee that its technology will identify, prevent, mitigate, eliminate, or enable recovery from fraud, default, collateral or floorplan loss, inventory discrepancies, data errors, compliance violations, operational failures, dealer misconduct, or any other adverse event.
Examples, projections, demonstrations, case studies, and performance descriptions presented on the Website are illustrative only and are not guarantees of future results.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ANVL, ITS AFFILIATES, LICENSORS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE WEBSITE, EVEN IF ANVL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL ANVL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE EXCEED ONE HUNDRED DOLLARS ($100).
These limitations apply only to claims arising from the public Website and these Website Terms. They do not alter any liability terms contained in an applicable Customer Agreement.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless ANVL and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

- →A material violation of these Website Terms
- →Content or information you submit through the Website
- →Infringement or violation of another person's rights
- →Unauthorized access, scraping, security testing, interference with, or misuse of the Website or ANVL systems
ANVL reserves the right, at its election, to assume exclusive control of the defense and settlement of any matter subject to indemnification under this section. You agree to provide reasonable cooperation, at your expense, and you may not settle any such matter in a manner that imposes liability, obligations, or admissions on ANVL without ANVL's prior written consent.
Governing Law and Disputes
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.
Exclusive Venue
Each party submits to the exclusive jurisdiction and venue of the state courts located in New Castle County, Delaware, and the United States District Court for the District of Delaware, for the resolution of any dispute arising out of or relating to these Terms or the Website.
Informal Resolution
Before initiating any formal proceedings, you agree to contact ANVL at contact@anvllabs.io and attempt to resolve the dispute informally for at least thirty (30) days.
The informal-resolution requirement does not prevent either party from seeking temporary, preliminary, emergency, or injunctive relief in any court of competent jurisdiction when necessary to prevent immediate or irreparable harm, protect intellectual property rights, address a security incident, or stop unauthorized Website use.
Changes to These Terms
ANVL may update these Terms at any time. When changes are made, ANVL will revise the "Last Updated" date at the top of this page. Material changes will apply prospectively from the date identified in the updated Terms.
Your continued use of the Website after revised Terms become effective constitutes your acknowledgment and acceptance of the revised Terms. We encourage you to review these Terms periodically.
Revisions to these Website Terms do not amend, supplement, or supersede any Customer Agreement.
General Provisions
Entire Agreement
These Terms constitute the entire agreement between you and ANVL with respect to your use of the public Website only. These Website Terms do not amend, supplement, replace, or supersede any Master Services Agreement, Order Form, pilot agreement, evaluation agreement, nondisclosure agreement, Data Processing Addendum, Statement of Work, security exhibit, or other Customer Agreement or executed written agreement with ANVL.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver
ANVL's failure to enforce any right or provision of these Terms in any instance will not constitute a waiver of that right or provision in any future instance.
Assignment
You may not assign or transfer these Terms or any rights or obligations under them without ANVL's prior written consent. ANVL may assign these Terms without your consent in connection with a merger, acquisition, or sale of all or substantially all of its assets. Any purported assignment in violation of this section is void.
